Terms of Service

Effective October 11, 2026

These terms govern your use of the Spawn private beta: our website, dashboard, API and sandbox infrastructure. They are written to be read. If something is unclear, ask us.

Agreement

By signing in or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of an organization, you confirm you are authorized to accept these Terms for it, and "you" includes that organization.

Private beta

The Service is in private beta. Features, limits and APIs may change or be removed without notice, and the Service may be unavailable, slow or lose data. There is no uptime commitment or service-level agreement during the beta. Do not rely on the Service for production workloads or as the only copy of anything important.

Your account

  • You must be at least 16 years old and able to form a binding contract.
  • You sign in with GitHub or Google and are responsible for keeping that account secure.
  • You are responsible for all activity under your account and API keys. Keep keys secret and revoke any key you believe is exposed.
  • We may limit the number of accounts, sandboxes or resources available to you.

Credits and usage

Sandbox usage is metered per second of execution and deducted from your credit balance. Verified beta accounts receive a one-time free credit. Credits have no cash value, cannot be transferred or refunded, and may expire when the beta ends. When your balance runs out, new runs may be blocked.

We will publish pricing and payment terms before we charge you for anything, and you will not be charged without agreeing to them.

Acceptable use

You agree not to use the Service, or let your agents use it, to:

  • Break the law, or infringe anyone's intellectual property, privacy or other rights.
  • Create, store or distribute malware, phishing pages, or child sexual abuse material or other illegal content.
  • Attack, scan, probe or disrupt any system or network you are not authorized to test, including denial-of-service attacks.
  • Mine cryptocurrency, send spam, or run open proxies.
  • Escape or attempt to escape sandbox isolation, access other users' data, or interfere with the Service, except as allowed under Security research below.
  • Evade usage limits, metering or billing, for example by creating multiple accounts.
  • Resell the Service, or use it to build a competing product, without our written consent.

You are responsible for the code your agents generate and run, as if you had written it yourself.

Your content

You keep all rights to the code, files, data and output you put into or generate with the Service ("Your Content"). You give us a limited license to host, copy, execute and process Your Content only as needed to provide, secure and improve the Service. You confirm you have the rights needed to give us that license.

Security research

We welcome good-faith security research. If you find a vulnerability, including a way out of the sandbox, report it to [contact email] and give us reasonable time to fix it before disclosing it. Do not access or modify other users' data, degrade the Service, or keep exploiting an issue beyond what is needed to demonstrate it.

Third-party services

The Service integrates with GitHub and other third-party services. Your use of them is governed by their own terms, and we are not responsible for them.

Feedback

Beta feedback is what makes the product better. If you send us ideas or suggestions, we may use them without any obligation to you.

Suspension and termination

You can stop using the Service at any time. We may suspend or terminate your access, or stop running a sandbox, if you breach these Terms, if your use creates a risk for the Service or other users, or if we end the beta. Where reasonable, we will give you notice and a chance to export your data.

Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, secure or error-free, or that data will not be lost.

Limitation of liability

To the maximum extent permitted by law, Spawn will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim and US$100.

Indemnity

You will defend and indemnify Spawn against claims arising from Your Content, the code your agents run, or your breach of these Terms.

Changes to these terms

We may update these Terms as the Service evolves. We will change the effective date above and, for material changes, notify you by email or in the dashboard before they take effect. If you keep using the Service after that, you accept the updated Terms.

Governing law

These Terms are governed by the laws of [governing jurisdiction], without regard to conflict-of-law rules. Disputes will be resolved in the courts located there, unless the law where you live gives you the right to bring a claim locally.
